SmartStart™ Program Terms and Conditions:

Services: Sygnifi Networks agrees to turnkey design, produce and implement all elements of the SmartStart™ Program component purchased, subject to client direction and approval before product launch or prpgram implementation.
Project Management: Sygnifi Networks works collaboratively with the client designated project lead throughout the SmartStart™ website, and/or other SmartStart™ project life cycle to maintain effective coordination among the individuals involved and to successfully deliver the SmartStart™ product and program to market. Client meetings and work sessions are important to the success of any SmartStart™ project but particularly for projects with a short timeframe. Sygnifi Networks assumes we will work collaboratively with the lead Client staff throughout the project lifecycle. We have extensive experience working collaboratively with our customers remotely. We will assign a project manager who will work closely with the project teams (Sygnifi and Client), to maintain effective coordination among the individuals and teams.
Creative Services and Content Development: All SmartStart™ program information used in the development of the client's SmartStart™ project: i.e., website, banner, eTV commercial, SAM upgrade, or any other SmartStart™ program is to be client provided: This includes all text, graphics, logos, and photos. All text, graphics and photos are to be supplied to Sygnifi networks in an electronic manner. A dedicated Sygnifi Networks Project Manager will work with the client provided information to complete the project.Scope Management: Although adjustments to the project scope are a normal occurrence during the course of a SmartStart™ project’s life cycle, they will most likely impact the project cost and delivery schedule. Sygnifi Networks uses scope adjustment forms to approve alterations to the initial scope of the project that often occur based on feedback from user evaluations, acceptance tests, or insights developed throughout the course of the project. In the case of scope change, any SmartStart™ program scope adjustments must be authorized by a client-designated project leader prior to implementation. The Sygnifi Networks project manager will evaluate any scope adjustment requests generated during the project development process to determine the impact on delivery schedule and project costs.
SmartStart™ websites base program includes a Content Managment System (CMS) Lite program, with up to a 10-page website covering the basic categories a business requires. Additional options are available during SmartStart™ website purchase checkout and anything larger in scope, or any additional functions which are not listed on the SmartStart™ website order form is considered custom work and will be estimated separately. Ask your Sygnifi Networks SmartStart™ sales person for details.
Training: All new SmartStart™ website clients are provided with the SILVER level of training where they are supplied access to program basics tutorials which cover how to use the main features of the Content Managment System to make changes to the website, (text, graphics, menus) as needed, and any other purchased components as listed on the client's SmartStart™ invoice. After reviewing the tutorials a one hour online training session will be scheduled with a trainer to answer any questions. Any additional training time as requested by the client is billed at standard $45.00 hourly rates. Training Packages are available. Ask your Sygnifi Networks sales person for details.
Project Schedule: SmartStart™ project durations are estimated based on our experience with programs of similar scope and complexity. Example: a one month schedule from start to finish reflects our planned base website project development process. One week for banner ads and SAM upgrades. eTV projects are based on complexity and length of video and/or audio commercial and vary from minimum of one week to a average of one month.
During the Requirements Analysis phase of any SmartStart project, the client will ensure that appropriate personnel are available to meet with Sygnifi Networks team members as necessary. These personnel may include but are not limited to: subject matter experts with specific client business knowledge, personnel with an understanding of the project information, architecture, potential integration partners, and personnel with an understanding of the current client network and infrastructure, as well as client marketing and branding knowledge. The time agreed to complete the deliverables as identified in the client invoice, as well as the fees associated with this project are contingent upon client team member availability.
The specific SmartStart™ project schedule is based on all parties meeting an ageed timeframe; delays in delivering critical path milestones by the client such as approval of project milestones, can affect the overall SmartStart™ project delivery timeframe. If required client provided informaiton, or a specific client project milestone approval has not been recieved within 30 days of Sygnifi SmartStart™ project managers request, or within a reasonable timefram for the project milestone to be delivered the project at that stage will be suspended and any SmartStart™ project remaining balance owed by the client will be due. There will then be a client project restart fee to be determined by Sygnifi based on specific SmartStart™ project details and extent of project completion to restart the project. -
Compensation:
Client agrees to pay Sygnifi Networks for the SmartStart™ project sum as outlined in the terms on the SmartStart™ invoice.
Setup fees for a basic SmartStart™ website is $675, and includes one web-based e-mail account, initial website development, content organization assistance, layout of the site, and SILVER level website system management training. Additional hosting fees apply and are separate from the development costs. Client has choice of paying for hosting on a monthly basis with a major credit card ($29.95/month) or annually with either major credit card or check ($359.40/year).
eCommerce websites are quoted separately, and include one web-based e-mail account, initial website development, content organization assistance, layout of the site, and SILVER level website system management training. Additional hosting fees and security certificate costs apply and are separate from building costs. Client has choice of paying for annual hosting on a monthly basis with a major credit card ($29.95/month) or annually with either major credit card or check ($359.40/year). Security Certificates annual cost is $149 and must be paid prior to website going live. Client must sign up for a secure online merchant account in order to conduct transactions (not part of this agreement). Ask your Sygnifi Networks SmartStart™ sales person for details. Domain name registration if required is $25 per domain per year billed additional. Additional website development and support is available at Sygnifi standard $45 per hour rate as needed upon request.
- License: The client owns and controls certain creative materials that have been provided to Sygnifi Networks by the client, which are necessary for Sygnifi Networks to perform the Services hereunder, including without limitation art and photographs (collectively, the "Creative Materials"). Client hereby grants Sygnifi Networks a non-exclusive, royalty-free license to use all such Creative Materials in completing this program.

Ownership: Representation and Warranty. All work performed by Sygnifi Networks in the course of this project will be considered work made for hire related only to the direct content, data and cleint information. Sygnifi Networks owns all application software and proprietary property rights in such work, including, but not limited to, all copyrights, trademarks, and patents pending. Sygnifi Networks represents warrants and covenants that the work it provides to the client in the course of this project will be its own and will not infringe or constitute a misappropriation of any intellectual property rights or other rights of any third party. Sygnifi Networks shall indemnify, defend and hold harmless Client business, and its officers, directors, members, employees and agents from and against any action, suit, claim, damages, liability, costs and expenses (including reasonable attorneys' fees and costs), arising out of or connected with any breach of Sygnifi Network's representations and warranties herein. All final development work related to the Sygnifi Network SmartStart™ program and/or banner ads will remain the sole property of Sygnifi Networks. Client provided text, graphics, and photos are the property of the client. Client website domains are the property of the client when paid in full. Sygnifi Networks owns all related SmartStart™ software and application code used to build the SmartStart™ website indefinitely and follows all Open Source GNU rules.
Sygnifi Networks reserves the right to reuse any program core elements for other SmartStart™ clients as needed. Sygnifi Networks also reserves the right to highlight any SmartStart™ website and or program deliverable to demonstrate its products and services to potential clients.

Confidentiality: Sygnifi Networks and client shall not disclose to any third party any confidential information or material relating to this project or related business either during or up to 5 years after the time this agreement is in effect.

Cancellation Policy (Termination/Cancellation of Client Account): Either Client or Sygnifi Networek may terminate or cancel Client’s Account (or any part of the Service) at any time.
Termination by Client: Client may cancel their Account or any part of the SmartStart™ service at any time. Client must provide 30 day written notice to Sygnifi Networks of their intent to cancel. Client will receive a cancellation confirmation via email after Sygnifi Networks processes Client’s cancellation request. Sygnifi Networks reserves the right to collect any outstanding fees, surcharges or costs incurred when Client cancels. Client understands that there will be no reimbursement and no pro-rate if he or she decides to terminate the services before the end of a prepaid term, regardless of the reason for the termination.
Termination by Sygnifi Netoworks: Sygnifi Networks may terminate Client’s account if Sygnifi Networks determines to discontinue offering the Service. Additionally, Sygnifi Networks, in its sole discretion, may terminate Client’s Account or use of the Service for any reason, including, without limitation, (a) if Client breaches this Agreement, or (b) if Sygnifi Networks believes that Client has violated or acted inconsistently with the spirit of this Agreement. If Sygnifi Network terminates Client’s Account pursuant to above, Client will forfeit all prepaid fees, and any other amounts accruing to Client, if any, and Sygnifi Networks shall not be required to refund, redeem, or pay amounts to Client upon such termination. Upon termination of Client’s Account for any reason, Sygnifi Networks reserves the right to (a) collect all charges, fees, commitments and obligations incurred or accrued by Client; (b) delete any client Content or other information in connection with Client’s Account; (c) prohibit Client’s access to Client’s Account, including without limitation, by deactivating Client’s password; and (d) refuse Client future access to the Service.
- Updating Service and Terms Agreement: Sygnifi Networks reserves the right to updagte the terms and conditions of this SmartStart™agreement with written notice to the clients as needed and at Sygnifi Networks descretion. These updates will be posted to this website.
